Please read these Terms carefully. By registering on the Platform, making a Booking, or continuing to browse the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

These Terms have five parts:

  1. Part A — Site Terms (apply to all visitors)
  2. Part B — Family Terms (apply when you make a Booking)
  3. Part C — Nanny Terms (apply when you register as a Nanny)
  4. Part D — Definitions
  5. Part E — General & Legal

PART A — SITE TERMS

These terms apply to all visitors to the Site.

1. About Holiday Nannies

1.1 Holiday Nannies is a marketplace platform that connects tourist families with vetted, independent local nannies at holiday destinations worldwide. We operate the website at holidaynannies.com, boracaynannies.com, and any associated mobile applications (together, the "Site").

1.2 Holiday Nannies is operated by Travel Super Pass Group (ACN 649 698 859), trading as Holiday Nannies.

2. Nature of the Platform

2.1 Holiday Nannies operates as an introduction and marketplace platform only. It is not a childcare agency, employment agency, or labour hire business.

2.2 Holiday Nannies does not employ, engage, or subcontract any Nanny. Each Nanny listed on the Platform is an independent contractor operating in their own right.

2.3 By completing a Booking, the Family enters into a direct service arrangement with the Nanny. Holiday Nannies is not a party to that arrangement.

2.4 The relationship between the Family and the Nanny is that of client and independent contractor. Holiday Nannies accepts no liability for the acts, omissions, negligence, or conduct of any Nanny.

2.5 Users of the Platform are held fully responsible for their own actions. Holiday Nannies does not and cannot accept liability for the actions of any User.

3. AI Assistants Disclaimer

3.1 Holiday Nannies uses AI-powered assistants ("Poppins" for families, "Jasmine" for nannies) to help with bookings, matching, and communications.

3.2 AI assistants are provided as a convenience and do not constitute legal, safety, medical, or professional childcare advice. You should not rely on any AI-generated recommendation as a substitute for your own judgment.

4. Intellectual Property

4.1 All content, designs, trademarks, logos, and other intellectual property on the Site is owned by Holiday Nannies or its licensors.

4.2 You may not copy, reproduce, modify, distribute, or create derivative works from any content on the Site without our prior written consent.

4.3 You may not use robots, spiders, scrapers, or similar automated tools on the Site.

4.4 You may not attempt to access any part of the Site that is not intended for public access, or do anything that may cause the Site's systems to fail or become impaired.

5. Site Disclaimers

5.1 The Site is provided on an "as is" basis. We do not warrant that the Site will be available at all times, will be error-free, will be compatible with all devices and browsers, or will meet your particular requirements.

5.2 Any general information, advice, or suggestions on the Site are provided for informational purposes only and may not apply to your specific circumstances. You must make your own assessment before relying on any such content.

5.3 We are not responsible for any loss, disruption, or damage to your data or systems that may arise from using the Site.

5.4 If the Site is unavailable for any reason, you cannot hold us responsible for anything you lose as a result. We reserve the right to change, suspend, or discontinue the Site and its services at any time.

6. Links to Other Websites

6.1 The Site may contain links to third-party websites. We do not control those sites and are not responsible for their content, accuracy, or practices. A link does not imply endorsement.

7. Privacy & Cookies

Our Privacy Policy forms part of these Terms and is available at [holidaynannies.com/privacy].

PART B — FAMILY TERMS

These terms apply if you are making a Booking through the Platform, in addition to the Site Terms.

8. Making a Booking

8.1 By making a Booking, you warrant that:

(a) you are at least 18 years of age;

(b) you have the authority to make the Booking on behalf of yourself and every member of your Group;

(c) all information you provide is true, accurate, and complete;

(d) you have not been convicted of any offence relating to assault, violence, sexual misconduct, or fraud, and are not subject to any court order of such nature;

(e) you are not using the Platform for any commercial purpose.

8.2 You must inform us before the Booking of anything that might affect the Booking or that the Nanny needs to know in order to provide safe care. This includes but is not limited to: medical conditions, allergies, dietary requirements, learning difficulties, behavioural considerations, or any other matter that could affect the Nanny's ability to care for your child(ren).

9. Your Responsibilities as a Family

9.1 Safe Environment. You agree to ensure, at all times, that the Nanny may operate within a safe environment. You and members of your Group will:

(a) treat the Nanny with respect and dignity at all times;

(b) not engage in any physical contact with, or verbally abuse, harass, or threaten the Nanny;

(c) ensure that the environment in which the child(ren) are to be cared for is safe, child-friendly, and poses no unreasonable dangers to the Nanny;

(d) comply with the reasonable requests and conditions of the Nanny;

(e) provide the Nanny with all supplies and equipment needed to care for the child(ren), including food, nappies, baby and childcare essentials, and ensure all equipment is complete, clean, and in safe working condition;

(f) give the Nanny full and complete instructions concerning the child(ren) and their needs, so that the Nanny has all the information required to provide services in a complete, safe, and proper manner;

(g) ensure that the Nanny has adequate and sufficient breaks from their duties to provide services safely and effectively.

9.2 Maximum Work Period. Unless otherwise agreed in writing prior to the Booking, all Bookings for daytime nanny services are for a maximum of eight (8) consecutive hours in each 24-hour period. If you anticipate requiring longer hours, you must agree this with the Nanny and advise us in writing before the Booking commences.

9.3 Schedule. You agree, where reasonably possible, to provide the Nanny with their schedule of work for each day at least one day in advance.

9.4 Expenses. All reasonable expenses incurred by the Nanny in carrying out their duties (for example, activity entrance fees, transport costs, meals for the child(ren)) that have been agreed in advance with you, will be paid by you promptly. The Nanny is not expected to use their own money to cover such expenses.

9.5 Additional Children. If you wish to ask the Nanny to care for more children than you disclosed at the time of Booking, you must pay any additional fees as published on the Site and obtain the agreement of the Nanny before they assume responsibility for additional children.

9.6 Nanny Sharing. If you agree to share the use of a Nanny with another family, you remain responsible for all fees due to us under this Agreement. Any arrangement you make with the other family is a private matter between you and that family, and we have no obligation in relation to it.

9.7 Verification. While Holiday Nannies conducts vetting (identity verification, police background checks, and reference checks) on all Nannies, we cannot guarantee that such checks are complete or accurate. You must carry out any additional checks you feel are necessary. It is your decision whether to use the pre-booking introductory video call or to request further information, and if you decline either opportunity, the risk involved is yours.

9.8 Insurance. Holiday Nannies does not provide the Nanny with Professional Indemnity or Public Liability Insurance. If a Nanny offers you evidence of such a policy, you accept that we have not examined it and that you must verify its effectiveness yourself. If you do not, you accept responsibility for providing suitable insurance cover.

9.9 Duty to Notify. You must advise us immediately if you become aware of any circumstance that may affect the Booking or the Nanny in any manner, and cooperate with us in resolving any issues.

10. Platform Fees & Payment

10.1 The Platform Fee is charged by Holiday Nannies for the introduction service and platform access. It is displayed at checkout and is payable at the time of Booking.

10.2 The Platform Fee does not include the Nanny Fee. The Nanny Fee is agreed separately between the Family and the Nanny and paid directly to the Nanny at locally agreed rates.

10.3 Holiday Nannies does not handle, process, or take any commission from the Nanny Fee.

10.4 Payments are processed through Stripe. By completing a Booking, you authorise Holiday Nannies to charge your payment method for the Platform Fee and, where applicable, for any Extension Fees (see clause 11).

11. Extensions & Off-Platform Arrangements

11.1 Extensions Must Go Through the Platform. Any extension, modification, or continuation of services beyond the confirmed Booking Period must be arranged through the Platform. The Nanny is instructed to direct all extension requests back through Holiday Nannies.

11.2 Automatic Extension Charge. If an Extension is discovered — whether through AI check-ins, Nanny reporting, or any other means — Holiday Nannies reserves the right to charge the applicable Extension Fee to the payment method on file, without further notice. The Extension Fee will be the difference between the original Booking fee tier and the fee tier corresponding to the total service period actually used.

11.3 Off-Platform Solicitation Prohibited. You may not make direct arrangements with a Nanny introduced through the Platform for future services outside the Platform for a period of twelve (12) months from the date of your most recent Platform-facilitated Booking with that Nanny. If you engage a Nanny off-platform within this period, you agree to pay Holiday Nannies a fee equivalent to the Platform Fee that would have applied had the booking been made through the Platform, and Holiday Nannies reserves the right to charge this to your card on file.

12. Cancellation & Refunds

12.1 If you wish to cancel a Booking after it has been confirmed:

(a) More than 14 days before the Booking start date: full refund of the Platform Fee;

(b) Between 3 and 14 days before the Booking start date: 50% refund of the Platform Fee;

(c) Less than 3 days before the Booking start date: no refund.

12.2 If the Nanny fails to attend the Booking and you notify us within 48 hours of the agreed start time, we will provide a full refund or, at your option, arrange an alternative Nanny.

12.3 No refund will be provided where:

(a) you terminate the Booking after the Nanny has commenced services, except where the Nanny has engaged in misconduct;

(b) you materially change the job description, location, or conditions from those agreed at the time of Booking;

(c) you have provided misleading information about any aspect of the Booking;

(d) the cancellation is due to your failure to comply with your obligations under these Terms.

12.4 Our sole financial obligation in the event of a Nanny failing to complete a Booking is to refund the pro-rated portion of the Platform Fee for the unused portion of the Booking Period. We do not reimburse consequential losses such as unused hotel rooms, flights, activity bookings, or lost holiday time.

13. Family Liability

13.1 Holiday Nannies is not a party to the childcare arrangement between you and the Nanny. Any legal disputes arising from the provision of childcare services are between you and the Nanny.

13.2 Holiday Nannies' total liability to you under or in connection with these Terms is limited to the amount of the Platform Fee you have paid.

13.3 Holiday Nannies will not be liable for any indirect, consequential, or incidental loss or damage, including but not limited to loss of enjoyment, emotional distress, or lost holiday time.

13.4 Nothing in these Terms excludes or limits our liability for death or personal injury resulting from our negligence, or for fraud or fraudulent misrepresentation.

14. Dispute Resolution — Families

14.1 In the event of a dispute between you and a Nanny:

(a) You must advise the Nanny in writing, with as much detail as possible, within five (5) days of the end of the Booking. If you fail to do so within this period, you will be deemed to have waived any claim in respect of that dispute.

(b) The Nanny must respond within five (5) days of receiving your notice.

(c) If the dispute is not resolved between you and the Nanny directly, either party may refer the matter to Holiday Nannies for informal mediation. Holiday Nannies will use reasonable endeavours to facilitate a resolution but is not obliged to act as arbitrator and accepts no liability for the outcome.

14.2 For the purposes of this clause, "dispute" means a substantive disagreement that cannot reasonably be resolved in one or two good-faith conversations.

PART C — NANNY TERMS

These terms apply if you register as a Nanny on the Platform, in addition to the Site Terms.

15. The Agreement

15.1 These Terms govern the relationship between you and Holiday Nannies and form the basis of the agreement between us. Nothing provided by us — including marketing materials, the Site, or communications — constitutes a contractual offer capable of acceptance outside of these Terms.

15.2 For the avoidance of doubt, you are not an employee, agent, or partner of Holiday Nannies. You are an independent contractor. You may not represent yourself as an employee, agent, or partner of Holiday Nannies to any third party.

15.3 Holiday Nannies will not be vicariously liable for any of your acts or omissions.

16. Registration & Documentation

16.1 To register on the Platform, you must provide (as originals and not copies) and warrant that each is true, accurate, and up to date:

(a) a valid government-issued photo identification (passport, national ID, or driver's licence);

(b) an up-to-date criminal record check or police clearance certificate from your country of residence (and from any other country in which you have resided for more than six months in the preceding 24 months), of the type relevant to working with children — or its equivalent in your jurisdiction;

(c) a valid certificate showing that you have attended, within the last three years, a recognised course in Paediatric First Aid or general First Aid (depending on the nature of the services you will provide);

(d) accurate and complete information regarding your work experience, training, qualifications, and any professional authorisations;

(e) if your services involve driving in any capacity, your driving licence including details of any driving offences.

16.2 You consent to Holiday Nannies conducting identity verification through its third-party verification partners (currently Veriff) and retaining copies of the documents referred to above.

16.3 You agree that Holiday Nannies may disclose to any Family to whom we offer your services all verification documents, profile information, and references you have provided to us.

16.4 You agree to renew your police clearance certificate annually and to upload the renewed certificate to the Platform prior to expiry. Failure to do so will result in automatic suspension of your listing.

16.5 If, at any time, you lose the right to work in the jurisdiction in which you will provide services, or any qualification you have claimed becomes invalid, you must notify us immediately.

17. Nanny Responsibilities & Conduct

17.1 Service Standards. When providing childcare services to families introduced through the Platform, you agree to:

(a) arrive on time for all agreed Bookings;

(b) provide services in a safe, professional, and caring manner at all times;

(c) disclose to the Family, prior to commencement of services, any health condition or limitation that may affect your ability to provide safe childcare;

(d) never leave children unsupervised except in a genuine emergency, and in such case to immediately contact the parents and Holiday Nannies;

(e) not consume alcohol or any substance that may impair your performance during a Booking;

(f) treat all families and children with respect and dignity;

(g) respond to communications from Holiday Nannies within 24 hours;

(h) provide the Family, on request, a copy of any Professional Indemnity or Public Liability Insurance policy you hold.

17.2 Conduct on Family Premises. While on the premises of a Family, you will treat those premises with the utmost respect, in a manner that does not cause any danger to yourself, the Family, or any third party, and that ensures the safety of the Family and their children at all times.

17.3 Risk Assessment. You understand and accept that Holiday Nannies is not able to verify the conditions under which any Booking will be conducted. Before you commence services with any Family, you agree to carry out your own assessment of the environment and to satisfy yourself that the conditions are safe and free from unreasonable danger. If you consider the environment unsafe, you must notify Holiday Nannies immediately and you are not obliged to commence or continue services.

17.4 Health Declaration. If you are offered a Booking, you agree that, before accepting it, you will provide honest and complete answers to any health declaration or other forms we ask you to complete.

17.5 Gifts. You may not accept any gift of money or property from any Family without first notifying Holiday Nannies.

17.6 Compliance. You will comply at all times with any guidance, handbooks, safety protocols, or codes of conduct provided by Holiday Nannies.

18. Fees & Payment

18.1 You set your own daily or hourly rate within the suggested rate range published by Holiday Nannies for your destination.

18.2 The Nanny Fee is paid directly to you by the Family, typically in cash at locally agreed rates. Holiday Nannies is not responsible for collecting or remitting the Nanny Fee.

18.3 You acknowledge that Holiday Nannies charges the Family a separate Platform Fee, to which you have no entitlement.

18.4 You are solely responsible for declaring any income earned through Platform Bookings to the relevant tax authority in your jurisdiction and for paying all applicable taxes, duties, and contributions.

18.5 Holiday Nannies does not deduct tax on your behalf and is not responsible for your tax compliance.

19. Off-Platform Solicitation & Introduction Restrictions

19.1 You agree not to solicit, offer, or accept any direct engagement with a Family introduced through the Platform, for any childcare or related services, outside of the Platform for a period of twelve (12) months following the most recent Platform-facilitated Booking with that Family.

19.2 If a Family requests an extension or additional services during or after a Booking, you must direct them to arrange this through the Platform. You must not agree to any off-platform extension, continuation, or new arrangement directly.

19.3 You will not introduce any Family to any friend, acquaintance, or other person for the purpose of providing childcare services that would otherwise be offered through the Platform.

19.4 If you breach this clause, you agree that Holiday Nannies will be entitled to recover from you a fee equivalent to the Platform Fee that would have applied had the engagement been facilitated through the Platform.

20. AI Monitoring Programme

20.1 By registering on the Platform, you consent to participation in the Platform's AI-assisted monitoring programme, which may include:

(a) automated WhatsApp or in-app check-in messages from the Platform's AI system ("Jasmine") during and after Bookings;

(b) post-Booking follow-up conversations conducted by the Platform's AI system;

(c) AI analysis of conversation responses for the purpose of nanny wellbeing monitoring, quality assurance, and safety.

20.2 All AI monitoring is conducted for the purpose of supporting nanny wellbeing, detecting safety issues, and maintaining Platform quality. You may withdraw consent at any time by notifying Holiday Nannies in writing, which will result in suspension of your listing.

20.3 Conversation data is stored securely and is not shared with Families or third parties except where required by law or in response to a credible safety concern.

21. Confidentiality

21.1 You agree not to disclose to any third party the personal contact details, home address, accommodation details, travel itinerary, financial information, or any other private information of any Family introduced through the Platform.

21.2 You will keep all Confidential Information secret and will not use any Confidential Information for any purpose not related to the provision of services through the Platform.

21.3 If you are required by law to disclose Confidential Information, you must notify Holiday Nannies before doing so, where reasonably practicable.

21.4 The obligations in this clause survive the termination of this Agreement and continue indefinitely.

22. Indemnity & Insurance

22.1 You indemnify Holiday Nannies and agree to keep Holiday Nannies indemnified against any and all claims, losses, damages, costs, and expenses (including legal costs) arising from or in connection with your acts or omissions in the provision of childcare services, or from any breach of your obligations under these Terms.

22.2 Holiday Nannies strongly recommends that you maintain valid Personal Accident Insurance and, where available in your jurisdiction, Public Liability Insurance. If you hold such policies, you agree to provide copies to Holiday Nannies on request.

22.3 Holiday Nannies does not provide you with any insurance coverage.

23. Nanny Liability

23.1 Holiday Nannies' total liability to you under or in connection with these Terms is limited to the amount of Platform Fees generated from your Bookings in the preceding three (3) month period.

23.2 Holiday Nannies will not be liable for any indirect, consequential, or incidental loss, including lost income, lost opportunity, or travel costs.

23.3 Holiday Nannies is not liable for any costs, expenses, or other amounts you incur in carrying out services, nor for expenses incurred before a Booking has commenced.

23.4 Nothing in these Terms excludes or limits our liability for death or personal injury resulting from our negligence, or for fraud or fraudulent misrepresentation.

24. Suspension & Termination

24.1 Your listing may be suspended or permanently removed for any of the following:

(a) failure to attend a confirmed Booking without reasonable notice;

(b) a substantiated complaint of misconduct, abuse, neglect, or mistreatment of a child or Family;

(c) providing false or misleading information during registration or at any time thereafter;

(d) breach of any provision of these Terms;

(e) failure to maintain required documentation (police clearance, first aid certificate, identity verification);

(f) any conduct that, in Holiday Nannies' reasonable opinion, brings the Platform into disrepute.

24.2 Either party may terminate this Agreement at any time with seven (7) days' written notice. Termination does not affect any Booking already confirmed and in progress.

24.3 Holiday Nannies may terminate this Agreement immediately and without notice in the event of a serious safety concern or a material breach of these Terms.

24.4 Upon termination, the off-platform solicitation restrictions (clause 19) and confidentiality obligations (clause 21) will remain in effect for the periods specified in those clauses.

24.5 Holiday Nannies has no obligation to offer any Booking to you, and you have no obligation to accept any Booking offered.

25. Dispute Resolution — Nannies

25.1 In the event of a dispute between you and a Family:

(a) You must advise the Family in writing, with as much detail as possible, within five (5) days of the end of the Booking. If you fail to do so within this period, you will be deemed to have waived any claim in respect of that dispute.

(b) The Family must respond within five (5) days of receiving your notice.

(c) If the dispute is not resolved between you and the Family directly, either party may refer the matter to Holiday Nannies for informal mediation. Holiday Nannies will use reasonable endeavours to facilitate a resolution but is not obliged to act as arbitrator and accepts no liability for the outcome.

25.2 If you have an issue with the Platform itself or with Holiday Nannies' conduct, you should contact us at support@holidaynannies.com and we will endeavour to resolve the matter promptly.

Group The Family and all persons travelling with them who may have contact with the Nanny during the Booking
Booking A confirmed reservation of a Nanny's services for specified dates and hours, facilitated through the Platform
Booking Period The specific dates and hours confirmed at the time of Booking
Extension Any continuation, modification, or expansion of services beyond the confirmed Booking Period
Platform Fee The fee paid by the Family to Holiday Nannies for the introduction and platform service, as specified at checkout
Nanny Fee The separate fee agreed between the Family and the Nanny and paid directly to the Nanny
Extension Fee The additional Platform Fee payable where an Extension is arranged or discovered
Confidential Information Any information relating to a Family, Nanny, or Holiday Nannies that is not publicly available, including personal details, financial information, travel plans, business processes, and proprietary systems
Post The childcare engagement offered to a Nanny through the Platform
Services The introduction, matching, and marketplace services provided by Holiday Nannies

PART E — GENERAL & LEGAL

26. Modifications to These Terms

26.1 We may update these Terms from time to time. The current version will always be available on the Site with the effective date shown at the top.

26.2 Continued use of the Platform after any update constitutes acceptance of the revised Terms.

26.3 For material changes, we will endeavour to notify registered users by email or through the Platform, but it remains your responsibility to review the current Terms each time you use the Site.

27. Governing Law & Jurisdiction

27.1 These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.

27.2 Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia, except where the laws of another jurisdiction mandate otherwise (for example, mandatory consumer protection laws in your country of residence).

28. Limitation of Liability — General

28.1 To the maximum extent permitted by law, Holiday Nannies excludes all liability for any loss or damage arising from your use of the Site or Platform, except as expressly stated in these Terms.

28.2 Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable consumer protection legislation that cannot be excluded, restricted, or modified by agreement.

28.3 Where our liability cannot be excluded, it is limited to (at our option): re-supplying the services, or refunding the Platform Fee paid.

29. Force Majeure

29.1 Holiday Nannies will not be liable for any failure or delay in performing its obligations where that failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, war, civil unrest, strikes, internet or telecommunications failures, or power outages.

29.2 If such an event occurs, we will notify you as soon as reasonably practicable and resume services as soon as we can.

30. General Provisions

30.1 These Terms, together with the Privacy Policy, represent the entire agreement between you and Holiday Nannies in relation to your use of the Platform.

30.2 If any provision of these Terms is found to be unenforceable by a court or other competent body, the remaining provisions will continue in full force and effect.

30.3 Holiday Nannies' failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

30.4 You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Holiday Nannies may assign its rights and obligations under these Terms to a third party (for example, if we sell our business), and will notify you in writing if this occurs.

30.5 These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Holiday Nannies, except as expressly stated.

30.6 Any formal notice required under these Terms must be given by email to the address each party has provided to the other.
